General Terms and Conditions (GTC)

I. Introductory Provisions

  1. These General Terms and Conditions (hereinafter referred to as the ‘GTC’) govern the mutual rights and obligations of the contracting parties arising in connection with or on the basis of a contract of sale concluded between the seller:

    OPTIXS, s.r.o., with its registered office at Křivoklátská 37/3, Letňany, 199 00 Prague 9, Company Registration Number: 02016770, VAT No.: CZ02016770, registered in the Commercial Register maintained by the Municipal Court in Prague, Section C, File No. 219352, Website: www.optixs.cz (hereinafter referred to as the “Seller”) and another natural or legal person (hereinafter referred to as the “Buyer”).

  2. Consumer Buyer (B2C): A natural person who is not acting in the course of their business activities.
  3. Business buyer (B2B): A person acting in the course of their business activities or in the independent exercise of their profession.
  4. Provisions deviating from these General Terms and Conditions may be agreed in a sales contract or a framework agreement. Such provisions shall take precedence over these General Terms and Conditions.

II. Order and Conclusion of the Purchase Contract

  1. The presentation of goods on the website www.optixs.cz is for information purposes only. The contractual relationship comes into effect upon delivery of the order confirmation (acceptance), which is sent by the seller to the buyer by email.
  2. The buyer agrees to the use of means of distance communication when concluding the sales contract.

III. Price of Goods and Payment Terms

  1. The prices listed on the online shop are final, including VAT and all related charges (excluding delivery costs).
  2. The seller accepts the payment methods specified during the checkout process (e.g. bank transfer, online payment, cash on delivery).
  3. Under the Act on the Registration of Sales, the seller is obliged to issue a receipt (invoice) to the buyer.

IV. Withdrawal from the Contract – Consumers (B2C)

This clause applies only to buyers who are consumers.

  1. Right of withdrawal: The consumer has the right to withdraw from the purchase contract without giving any reason within 14 days of receiving the goods.
  2. Procedure: To withdraw, the consumer may use the model form attached to these General Terms and Conditions. Notice of withdrawal must be sent to the seller within 14 days to the email address stated on the website www.optixs.cz or by post to the registered office address.
  3. Return of goods: The goods must be returned within 14 days of withdrawing from the contract to the seller’s registered office (Křivoklátská 37/3, 199 00 Prague 9). The costs of returning the goods shall be borne by the buyer.
  4. Condition of returned goods and loss of value: The consumer is liable for any loss of value of the goods resulting from handling them in a manner other than that necessary to ascertain their nature and characteristics.

    IMPORTANT NOTICE – PROTECTION AGAINST LASER RADIATION:
    Given the nature of the product range (certified protective equipment for working with lasers), a 100% guarantee of the protective filters’ functionality is essential for the resale of the goods. Any damage, even if invisible to the naked eye, may result in a loss of the declared protection level (OD/LB).

    The buyer acknowledges that:

    • Laser protective filters cannot be repaired (e.g. by polishing). If returned glasses show signs of visible handling beyond what is necessary for an initial trial (e.g. fingerprints, scratches, damaged filters), such glasses are deemed to have lost their value and cannot be put back on sale.
  5. In the event of the return of damaged or worn goods (such as glasses accessories), the seller reserves the right to set off against the claim for a refund of the purchase price the actual costs incurred in restoring the goods to their original condition. In extreme cases, this amount may correspond to the full price of the goods.
  6. Refunds: Funds will be refunded within 30 days of withdrawal, but not before the seller has received the returned goods.

V. Specific Terms and Conditions for Businesses (B2B)

  1. The provisions of Article IV of these General Terms and Conditions (the option to return goods without giving a reason within 14 days) do not apply to a buyer who is not a consumer (B2B).
  2. The rights and obligations between the seller and the B2B partner are governed by Act No. 89/2012 Coll., the Civil Code, and, where applicable, by an individual framework purchase agreement, if one has been concluded between the parties.
  3. Any return of goods beyond the scope of statutory liability for defects is only possible with the Seller’s written consent or in accordance with the provisions of the framework agreement.

VI. Rights arising from defective performance (Complaints)

  1. The seller warrants to the buyer that the goods are free from defects upon delivery.
  2. For consumers, the warranty period is 24 months from the date of receipt. For businesses, the warranty is governed by the relevant provisions of the Civil Code, unless otherwise agreed.
  3. The buyer may exercise their rights arising from defective performance at the registered office address: Křivoklátská 37/3, 199 00 Prague 9, or by email.
  4. If the defect is rectifiable, the buyer is entitled to a repair free of charge. Given the technical nature of the goods, ‘repair’ generally means replacing the defective part (e.g. the arms of a pair of glasses) with a fault-free one. If this is not possible, the buyer is entitled to a replacement item; and if a replacement is not possible either, the buyer is entitled to withdraw from the contract.

VII. Final Provisions

  1. Matters not covered by these General Terms and Conditions shall be governed by the laws of the Czech Republic.
  2. The Czech Trade Inspection Authority (www.coi.cz) is responsible for the out-of-court resolution of consumer disputes arising from the sales contract.
  3. These Terms and Conditions shall come into force on the date of their publication and supersede all previous versions.
